Terms of Service

Welcome to Agency Hero. These Terms of Service (“Terms”) govern your access to and use of the Agency Hero software-as-a-service platform (the “Service”), operated by Agency Hero LLC (“Agency Hero,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that organization to these Terms.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement.

2. The Service

Agency Hero is a B2B SaaS platform that provides AI-powered meeting analysis, project documentation, and integration with business tools such as Zoom, HubSpot, Google Calendar, and others. Features may include meeting transcription, AI-generated summaries and insights, document handling, and workflow orchestration.

We reserve the right to modify or discontinue features, tools, or the Service as a whole at our sole discretion without notice.

3. Accounts and Access

To use the Service, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your credentials and all activity under your account.

You agree not to share access credentials or allow unauthorized users to access the Service. You are responsible for compliance with these Terms by anyone using your account or under your organizational license.

4. Acceptable Use

You agree not to:

• Use the Service for unlawful or unauthorized purposes

• Record or transcribe meetings without consent from participants

• Interfere with or disrupt the Service or attempt to circumvent security features

• Use AI-generated content for deceptive, harmful, or unlawful activities

• Reverse engineer or attempt to extract source code from the platform

• Introduce malware, viruses, or other harmful software

We reserve the right to suspend or terminate access for violations of this section.

5. Subscriptions and Payment

Access to certain features of the Service requires a paid subscription.

• Monthly Plans: You may cancel your subscription at any time. Cancellations will take effect at the end of the current billing period. No refunds will be issued for partial months.

• Annual Plans: You are committing to a full year of service. Cancellations may be requested at any time but will take effect only after the current annual term ends. No refunds are provided for unused time.

• Usage Quotas and Overages: Each subscription plan includes a set usage allotment (such as AI processing time, meeting analysis credits, or document storage). If your usage exceeds your plan’s quota, overages will be charged according to the metered usage pricing posted on our site or as agreed in writing. You are responsible for monitoring your usage.

• Changes to Fees: We reserve the right to adjust fees or quotas with notice, which will apply to the next billing cycle.

All payments are non-refundable except where required by law.

6. Third-Party Services

The Service integrates with several third-party platforms, including but not limited to Zoom, Google, Asana, HubSpot, OpenAI, AWS, and others. By using these integrations, you authorize us to access and interact with these services on your behalf.

You acknowledge that their respective terms and privacy policies govern your use of third-party platforms, and we are not responsible for their actions or availability.

7. AI-Generated Content and Disclaimers

The Service uses artificial intelligence (AI) to generate meeting summaries, action items, and other outputs. While we strive for accuracy, you understand and agree that:

• AI-generated content may not be error-free

• You are solely responsible for verifying and interpreting outputs

• Agency Hero disclaims any liability for actions taken based on AI-generated information

All outputs are provided “as is” without warranties of any kind.

8. Intellectual Property

All content, software, and systems provided by Agency Hero are the intellectual property of Agency Hero LLC or its licensors. You may not copy, distribute, or create derivative works based on the Service itself.

You retain ownership of all content and data you upload to the Service, as well as all outputs generated through your use of the Service — including AI-generated summaries, transcriptions, and other results. We do not claim ownership over your meeting content or generated outputs.

By using the Service, you grant us a license to store, process, and analyze your data solely for the purpose of delivering and improving the Service. We may use anonymized and aggregated data to enhance performance, conduct analytics, or improve system capabilities.

9. Service Availability and Support

We strive for high uptime and system reliability. However, we do not guarantee uninterrupted access and may conduct maintenance or suspend access as needed.

We are not responsible for delays or issues caused by third-party platforms or service providers.

10. Termination

You may terminate your account at any time. We reserve the right to suspend or terminate your access to the Service for violation of these Terms, nonpayment, or harmful behavior.

Upon termination:

• Your data may be deleted in accordance with our internal retention policies

• You will not be entitled to a refund except where required by law

• Your rights to use the Service will cease immediately

11. Limitation of Liability

To the fullest extent permitted by law:

• Agency Hero shall not be liable for indirect, incidental, special, or consequential damages

• Our total liability under these Terms shall not exceed the amount paid by you to us in the twelve months preceding the event giving rise to the claim

• We do not guarantee that the Service will be error-free or uninterrupted

12. Indemnification

You agree to indemnify and hold harmless Agency Hero LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your content, or your violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States. You agree that any legal action or proceeding shall be brought exclusively in the courts located in Cook County, Illinois.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service. Continued use of the Service after such changes constitutes acceptance.
